| 1. | If applicable, Healy Consultants obtains, on our client's behalf, government approval for foreign investors. |

| 2. | Our client and Healy Consultants agree the company name and the optimum corporate structure, including shareholders and directors of the Indian company. |

| 4. | Healy Consultants organises incorporation documents for our client's signature and return to us. |
||||||||||||||||
| 5. | Healy Consultants obtains the Director Identification Number (DIN) and Digital Signature Certificate from the Ministry of Corporate Affairs. |
||||||||||||||||
| 6. | The company name is submitted for approval to the India Registrar of Companies and has the Memorandum and Articles of Association vetted by the department. |
||||||||||||||||
| 7. | After company name approval, Healy Consultants' team apply for stamping of the Memorandum and Articles of Association. |
||||||||||||||||
| 8. | Healy Consultants will submit an India company registration application to the India Registrar of Companies, including the following documents: |
||||||||||||||||
| i) | Payment of the India company registration fee; |
||||||||||||||||
| ii) | Stamped Memorandum and Articles; |
||||||||||||||||
| iii) | A signed declaration that the registration has complied all the rules as laid down in the Indian Companies Act 1956; |

| iv) | Details of company directors and identification. |

| 9. | After receiving the Certificate of Incorporation, Healy Consultants will provide our client a complete company kit including : |
||||||||||||||||
| i) | an original Government receipt as evidence of payment of annual license fee; | ||||||||||||||||
| ii) | original Certificate of Incorporation; | ||||||||||||||||
| iii) | a bound copy of a Government approved Memorandum & Articles; | ||||||||||||||||
| iv) | original share certificate; | ||||||||||||||||
| v) | a printout from the India Public Register illustrating company details available for public viewing. | ||||||||||||||||
