Our Client settles our fees and signs Healy Consultants engagement letter;

| 2. | Healy Consultants provides our Client a detailed engagement plan, outlining a roadmap for the upcoming engagement, thus minimising unwanted surprises and meeting Client expectations. |

| 3. | Healy Consultants collects required due diligence from our client. Our client also confirms the Peru corporate structure, including shareholders and directors. Only then will Healy Consultants proceed with company incorporation. |

| 4. | To proceed with the Peru Company set up, Healy Consultants Incorporation Team checks the company name with the Public Register of Peru and, if approved, we begin incorporation of your Peru company. |
|
| 5. | To support Peru Company set up, Healy Consultants Incorporation Team registers the incorporation Documents with the Peru Government. |
|
| 6. | Healy Consultants Incorporation Tea, on behalf of the company will obtain Tax Card or Registro Unico del Contribuyente (Taxpayer Identification number, RUC) at the National Superintendency of Tax Administration (Superintendencia Nacional de Administracion Tributaria, SUNAT).

| 7. | Healy Consultants Incorporation Team will also Obtain Municipal License from the City Council, to support Peru Company set up. |
|
| 8. | Before Peru Company set up, Healy Consultants Incorporation Team will deposit at least 25% of capital in an internationally-recognised bank such as HSBC, Standard Chartered and Citibank and obtains proof thereof. The team will email our client with this document. |

| 9. | Following the Peru Company set up, Healy Consultants Compliance Team prepares all post incorporation documents, including minutes of the first meeting, preparation of bylaws, assurance of initial share certificates. |

| 10. | Following the Peru Company set up, Healy Consultants couriers a company kit folder (to our Client’s preferred international address) containing the following corporate documents: |

| i) | Original copy of Peru Business Registration Certificate; |
|
| ii) | Original share certificates; |
|
| iii) | Client feedback form. |
|
| 11. | Healy Consultants legally incorporates the Peru Company, with the correct corporate structure, see company registration procedure; |
|
| 12. | Healy Consultants completes corporate bank account opening for our Client, together, including world-class multi-currency Internet banking facilities; |
|
| 13. | Healy Consultants provides our Client with a local business address details for invoicing purposes, together with telephone, fax and email support; |
|
| 14. | Healy Consultants assists our Client with business website building, search engine advertising, as well as stationary and logo design; |
|
| 15. | Healy Consultants assists our Client to obtain corporate finance, trade finance and to open merchant accounts; |
|
| 16. | Healy Consultants assists our Client to locate business premises and recruit local staff; |
|
| 17. | Following completion of the engagement, Healy Consultants e-mails an Engagement Feedback Survey to our Client.
