UK Company Set Up Procedures

Healy Consultants' UK company set up procedures typically evolve as follows:

1.	Our client settles our fees for UK company set up, and signs Healy Consultants' engagement letter.
2.	Healy Consultants provides our client with a detailed plan for UK company set up, which outlines the roadmap for the upcoming project. This helps minimise unwanted surprises and meets our client's expectations. Our client also confirms the UK corporate structure, including shareholders and directors. Only then will Healy Consultants proceed with incorporation.
3.	Healy Consultants collects the required due diligence from our client.
4.	Prior to the UK company set up, Healy Consultants will register the company with Companies House. The following documents must be completed and returned to Companies House to complete the incorporation Process:
	Memorandum of Association; Articles of Association; Form 10 – Provides Directors’ and company Secretary’s Names & Addresses, together with the Registered company Address; Form 12 – States that the company complies with the terms of the Companies Act
5.	In order to proceed with the UK company set up, the company name must be approved. Healy Consultants submits information on the shareholders and directors to Companies House.
6.	After the UK company set up, Healy Consultants Compliance Team prepares all post incorporation documents, including minutes of the first meeting, preparation of bylaws, assurance of initial share certificates.
7.	Healy Consultants proceeds with UK company set up, legally incorporating the company with the correct corporate structure, see company registration procedures.
8.	Following UK company set up, Healy Consultants opens a corporate bank account for our client. The account features world-class multi-currency Internet banking facilities.
9.	To support UK company set up, Healy Consultants provides our client with local business address details for invoicing purposes for the UK company, together with telephone, fax and email.
10.	Healy Consultants assists our client with business website building, search engine advertising, as well as stationery and logo design to support UK company set up.
11.	Healy Consultants assists our client to obtain corporate finance, trade finance and to open merchant accounts to support UK company set up.
12.	Healy Consultants assists our client to locate business premises and recruit local staff in the UK to support UK company set up.
