Prior to Brunei company set up, our client settles our fees and signs Healy Consultants' engagement letter.

To support Brunei company set up, Healy Consultants Incorporation Team will submit Form A to the Registry of Companies to verify the uniqueness of the company name. If approved, Healy Consultants will proceed with company incorporation.

Healy Consultants Incorporation Team will make Statutory Declaration at Magistrate’s Court, prior to Brunei company set up.

• 3 original copies of the Memorandum and Articles of Association;
• 3 original copies of the Letters of Consent from directors;

Healy Consultants Incorporation Team liaises with the Brunei Registrar of Companies to complete Brunei company registration. Brunei company set up is completed with the corporate structure as approved by our client.

Healy Consultants Incorporation Team will receive a Certificate of Incorporation, two certified copies of the Memorandum and Articles of Association and registration forms for the Employees Provident Fund and the Collector of Income Tax from the Registry of Companies. These documents will be mailed to our client immediately.

After Brunei company set up, Healy Consultants Compliance Team prepares all post incorporation documents, including minutes of the first meeting, preparation of By Laws, assurance of initial Share Certificates.

The certificate of incorporation is issued, approximately one month after submission of incorporation forms.

The first directors’ meeting (in attendance or by circular resolutions) of the Company must be held to confirm: i) Incorporation of Company, ii) Common Seal, iii) First Directors, iv) Registered Office, v) Appointment to provide Corporate Secretarial Services, vi) Appointment of Auditors, vii) Appointment of Tax Agent/Representative, viii) Subscribers’ Shares, ix) Financial Year-End Date. Our client is required to sign and return the original to Healy Consultants office.

Following receipt of the signed documents, Healy Consultants provides our client with a complete company kit including i) original Certificate of Incorporation ii) a bound copy of Brunei government approved Articles of Association iii) original share certificates iv) an original Brunei government receipt as evidence of payment of annual Brunei company registration and license fees.

To support Brunei company set up, Healy Consultants' Banking Team completes corporate bank account opening for our client. The account includes world-class multi-currency Internet banking facilities and our client is not required to visit Brunei to complete this task. Healy Consultants works with internationally recognised banks such as HSBC, Standard Chartered and Citibank to provide corporate bank account services.

To support Brunei company set up, Healy Consultants provides our client with a local business address in Brunei for invoicing purposes, together with telephone, fax and email support.

Healy Consultants assists our client with business website building, search engine advertising, as well as stationery and logo design, to support Brunei company incorporation.
