China Company Set Up Procedures

The engagement procedures for China company formation typically develop as follows:
1. Our client completes a transfer of our fees and signs Healy Consultants engagement letter.
2.
Healy Consultants provides our client a detailed and comprehensive engagement plan, outlining a roadmap for the upcoming engagement, thus minimising unwanted surprises and meeting client expectations.
3.
Healy Consultants legally begins incorporating the China company, with the correct corporate structure, see company registration procedures regarding further information.
4.
Healy Consultants' China set up team prepares an application form for the State Administration for Industry and Commerce, requesting name approval for the WOFE.
5. Once the name has been approved, Healy Consultants' incorporation team completes all documentation required for the multi-stage application to obtain a WOFE business license. These documents must be submitted in Chinese generally causing difficultly in that translation along with the client signing documents in a foreign language, is required. However Healy Consultants professional staff ensured a smooth procedure with the following documents being prepared:

i) A feasibility study/business plan for the China WOFE;

ii) An application form for the establishment of the WOFE;

iii) Appointment letters (in Chinese) for the proposed chairperson and the members of the WOFE board of directors, signed by our client;

iv) A bank reference letter relating to the sole shareholder showing the total investment and registered capital and the make up of investment;

v) Two credit letters from foreign company banker to declare a good credit within at least current 6 month;

vi) A copy of the Business License of parent foreign company, certificated by a Chinese Embassy;

vii) A tenancy agreement for an office;

viii) Articles of association for the proposed WOFE;

ix) The latest annual audit report from the parent foreign company. The audit report should be in the format as prepared by a Certified Public Accountant (CPA).

Healy Consultants receives, approximately a month later, the Certificate of Approval with a scanned copy promptly forwarded to the client.
7.
To continue with China company set up, a business license is required to enable trading. An application form is completed by Healy Consultants' Shanghai staff, and, accompanied by the Certificate of Approval, is submitted to the State Administration for Industry and Commerce.
8.
As part of China company set up, our Shanghai staff liaised with the Bureau of Finance to obtain a Tax Registration License.
9.
Before a corporate bank account could be opened, a Foreign Exchange Registration Certificate was required. Healy Consultants China company set up staff prepare an application for the Foreign Exchange Bureau.
10.
Once Healy Consultants has acquired the Foreign Exchange Registration Certificate, our team completes corporate bank account opening for our client at one of the many reputable banks in the country such as HSBC or Standard Chartered, which includes world-class multi-currency Internet banking facilities to accompany China company set up.
11.
Healy Consultants procures for our client a local business address in China for invoicing purposes, together with fax, telephone and email support.  
12.
Healy Consultants assists our client with business web site creation, search engine advertising, as well as stationary and logo design.
13.
Healy Consultants assists our client in obtaining corporate finance, trade finance and to open merchant accounts to support China company set up.
14. Healy Consultants assists our client to locate business premises and recruit local staff.
15.
