Delaware Company Setup Procedures

Delaware company setup is straightforward with the guidance of Healy Consultants. Our transparent, logical procedures typically ensure an efficient engagement, which typically evolves as follows:

1.	Before a Delaware company is set up, our client signs Healy Consultants engagement letter and returns the original to our Singapore Head Office.
2.	Healy Consultants provides our client with a detailed engagement plan, outlining a roadmap for the Delaware company set up, thus minimising unwanted surprises and meeting client expectations.
3.	Healy Consultants collects the necessary corporate and personal due diligence information from our client in order to process all the appropriate documents.
4.	Healy Consultants incorporation team performs a company name search with Delaware's State Division of Corporations and, if approved, we begin incorporation of your Delaware company.
5.	To continue to set up a Delaware company, our client confirms the Delaware corporate structure, including shareholders and directors. Only then will Healy Consultants proceed with company incorporation.
6.	To support Delaware company setup, Healy Consultants Incorporation Team will also apply for a Federal Identification Number (EIN) for tax and employer purposes. These documents will be emailed to our client.
7.	Depending on the purpose of the company, Healy Consultants Incorporation Team will register online for sales tax.
8.	Healy Consultants Incorporation Team will arrange for publication and submit certificate and affidavits of publication.
9.	Following Delaware company setup, Healy Consultants Compliance Team prepares all post-incorporation documents, including minutes of the first meeting, preparation of By Laws, and issuance of initial Share Certificates.
10.	Upon receipt of original, client-signed corporate documents, Healy Consultants couriers a company kit folder (to our client’s preferred international address) containing the following original corporate documents:
	(i) An original Certificate of Incorporation from the Delaware Registrar of Companies; (ii) Set of certified copies of corporate documents; (iii) Client feedback form.
11.	Healy Consultants' Incorporation Team legally completes Delaware company setup with the correct corporate structure. (See Delaware Company Registration)
12.	To support the set up of a Delaware company, Healy Consultants' Banking Team completes corporate bank account opening for our client. The account includes world-class, multi-currency internet banking facilities. Healy Consultants works with internationally recognised banks such as HSBC, Standard Chartered and Citibank to provide corporate bank account services.
13.	To support Delaware company setup, Healy Consultants provides our client with a local business address in Delaware for invoicing purposes, together with telephone, fax and email support.
14.	Healy Consultants can assist our client with business website building, search engine advertising, as well as stationery and logo design, to support Delaware company set up.
15.	Healy Consultants assists our client to obtain corporate finance, trade finance and to open merchant accounts to accompany Delaware company setup, if needed.
16.	If required, Healy Consultants assists our client to locate business premises in Delaware and recruit local staff to support Delaware company set up.
17.	After completing the engagement, Healy Consultants collects the completed Engagement Feedback Survey from our client.
