Prior to Denmark company set up, our client settles our fees and signs Healy Consultants' engagement letter.

Prior to Denmark company set up, Healy Consultants collects the required due diligence from our client, including passport copies, proof of address, and details of the company's intended activities.

In advance of Denmark company registration, our client and Healy Consultants also agree the company name and the optimum corporate structure, including shareholders and directors.

Healy Consultants' incorporation team performs a company name search with the Danish Commerce and Companies Agency (DCCA) and, pending approval, begin incorporation of your Danish Anpartsselskab (ApS) company.

Healy Consultants' incorporation team prepares and emails the following documents to the client for his signature and return:

• DCCA company registration form;
• Memorandum and Articles of Association;
• Director and shareholder consent forms.

As part of Denmark company set up, Healy Consultants arranges to pay the standard authorised capital of DKr125,000 (US$22,900) to a Danish ESCROW agent with proof of payment of the same forwarded to our client.

Healy Consultants incorporation team submits the previously signed documents, along with the proof of paid-up capital, to the DCCA to complete company registration.

Once recieved, the Certificate of Incorporation from the DCCA is emailed by Healy Consultants’ incorporation team to the client

Healy Consultants compliance team prepares all post incorporation documents, including minutes of the first meeting, preparation of bylaws, assurance of initial share certificates.

The DCCA issues a CVR number (identification number) for the company, and forwards it to the Central Customs and Tax Administration (CCTA) for value added tax (VAT) registration purposes.

Healy Consultants couriers a company kit folder (to our client's preferred international address) containing the following corporate documents:

• Original copy of the Denmark Certificate of Incorporation;
• An extract from the DCCA stating the company name, registered office address, names of director(s) and the amount of share capital;
• An original bound copy of the Memorandum and Articles of Association (Vedtaeger);
• Original share certificates;
• Printout of the company’s details on from the DCCA.

To support Denmark company set up, Healy Consultants' banking team completes corporate bank account opening for our client. The account includes world-class multi-currency Internet banking facilities and our client is not required to visit Denmark to complete this task. Healy Consultants works with internationally recognised banks such as HSBC, Standard Chartered and Citibank to provide corporate bank account services.

To support Denmark company set up, Healy Consultants provides our client with a local business address in Denmark for invoicing purposes, together with telephone, fax and email support.

Healy Consultants assists our client with business website building, search engine advertising, as well as stationery and logo design, to support Denmark company incorporation.

Healy Consultants assists our client to obtain corporate finance, trade finance and to open merchant accounts to accompany Denmark company set up.

If required, Healy Consultants assists our client to locate business premises in Denmark and recruit local staff following Denmark company set up.

Following Denmark company registration, Healy Consultants emails an engagement feedback survey to our client.
