Jersey Company Set Up Procedures

The Jersey Financial Services Commission is a statutory body that provides regulation of the financial services industry in Jersey. The Jersey FSC regulates all banking, insurance and fund management companies, as well as governs the system for licensing company incorporation service providers.  Further information can be found on the Jersey FSC website .  

Before Jersey company set up, our client settles our fees and signs Healy Consultants' engagement letter.

Healy Consultants provides our client with a detailed engagement plan, outlining a roadmap for Jersey company registration, thus minimising unwanted surprises and meeting client expectations.

Our client and Healy Consultants agree the legal, tax and accounting implications of Jersey company registration.

Prior to Jersey company set up, Healy Consultants also collects the required due diligence from our client, including passport copies, proof of address, and details on the company's intended activities.

Prior to Jersey company registration, our client and Healy Consultants also agree the company name and the optimum corporate structure, including shareholders and directors.

Healy Consultants' incorporation team apply for the proposed company name reservation preceding the Jersey company set up procedure.

As part of Jersey company registration, Healy Consultants' incorporation team submits the following information to the Financial Services Commission:

(i) The identity of the beneficial owners of the company;

(ii) Full description of the company’s proposed activities;

(iii) Memorandum and Articles of Association.

(iv) Notification of the registered office address

To allow shares of a Jersey company to be issued, Healy Consultants submits an application supported by the signature of an Advocate of the Royal Court of Jersey or a Financial Services Commission recognised Chartered Accountant practising in Jersey.

Following Jersey company set up, Healy Consultants provides our client with a complete company kit including i) original Certificate of Incorporation ii) a bound copy of the Jersey government approved Articles of Association iii) original share certificates iv) an original Jersey government receipt as evidence of payment of annual Jersey company registration and license fees.

To support Jersey company set up, Healy Consultants' banking team completes corporate bank account opening for our client. The account includes world-class multi-currency internet banking facilities. Healy Consultants works with internationally recognised banks such as HSBC, Standard Chartered and Citibank to provide corporate bank account services.

To support Jersey company set up, Healy Consultants provides our client with a local business address in Jersey for invoicing purposes, together with telephone, fax and email support.

Healy Consultants assists our client with business website building, search engine advertising, as well as stationery and logo design, to support Jersey company registration.

In addition, Healy Consultants assists our client to obtain corporate finance, trade finance and to open merchant accounts to accompany Jersey company set up.

Healy Consultants assists our client, if required, to locate business premises in Jersey and recruit local staff following Jersey company set up.

Following Jersey company registration, Healy Consultants emails an engagement feedback survey to our client.
