Lithuania Company Registration Process

Healy Consultants will legally complete the Lithuania company registration process within six weeks. It is not necessary for our clients to visit Lithuania to complete Lithuania company registration, as Healy Consultants will handle all the engagement on your behalf. The Lithuania company registration process normally evolves as follows:

1.	Our client and Healy Consultants agree the legal, tax and accounting implications of Lithuania company registration.
2.	Our client and Healy Consultants agree the company name and the optimum corporate structure, including shareholders and directors.
3.	Prior to Lithuania company registration, Healy Consultants prepares incorporation documents for our client's signature and return to us. The processes for Lithuania company registration include:
i)	Open bank account with minimum capital and get a bank certificate proving the availability of the funds, pay the registration fee and obtain the proof of the payment.
ii)	Notarize the agreement/memorandum of incorporation and bylaws and notarize the application for the registration of the private limited liability company.
iii)	Register at the Company Register, including registration with State Tax Inspectorate (the Lithuanian Revenue Authority) for corporate tax, VAT, and State Social Insurance Fund Board (SODRA)
iv)	The completion of the Value Added Tax (VAT) registration. The company must be registered for VAT if the company's annual turnover is more than LTL10,000 (US$38,300).
v)	Formally inform the State Labor Inspectorate of the startup of the company by letter or phone. This is a requirement to gain official approval to commence business.
vi)	Open a settlement bank account to management of normal commercial transactions.
vii)	Obtain official seal of the company.
4.	Healy Consultants liaises with the relevant Lithuanian authorities to complete the entire process of Lithuania company registration.
5.	Healy Consultants provides our client with a complete Company kit including i) original Certificate of Incorporation ii) a bound copy of a Government approved Articles of Association iii) original share certificates iv) an extract from the Lithuania Company Registrar giving company details available for public viewing and v) an original Government receipt as evidence of payment of annual Lithuania company registration and license fees.
