Luxembourg Company Set up Procedures
Luxembourg company set up is straightforward with Healy Consultants' transparent, logical engagement procedures. Luxembourg company set up takes the following format:
1.	Our client settles fees and signs Healy Consultants' engagement letter.
2.	Healy Consultants provides our client with a detailed engagement plan, outlining a roadmap for the Luxembourg company set up project, minimising unwanted surprises and meeting client expectations.
3.	Healy Consultants legally begins Luxembourg company set up, with the correct corporate structure. See Luxembourg company registration procedures regarding further information.
4.	Healy Consultants' incorporation team performs a company name search with the Registre de Commerce et des Societes and, if approved, initiate Luxembourg company set up.
5.	Healy Consultants' incorporation team prepares and emails the following corporate documents to our client for his signature and returns to us:
	i)	Consent to Act as director and shareholder;
	ii)	The Memorandum of Association;
	iii)	The Articles of Association.
6.	Continuing with Luxembourg company set up, Healy Consultants incorporation team liaises with the Luxembourg Ministry of the Middle Classes and the Luxembourg regional government for a business permit to open a company in Luxembourg.
7.	On the client's behalf, Healy Consultants deposits the company's capital, as required by Luxembourg company set up, in a corporate bank account in the name of the company. This entity must have a minimum share capital of 12,500 Euros (US$17,500), which must be fully paid-up at incorporation.
8.	Healy Consultants’ incorporation team arranges for the company's deeds to be notarised by an approved notarial agent in Luxembourg.
9.	To complete Luxembourg company set up, the following documents are filed, by Healy Consultants, to the Trade and Companies Register Office:
	i)	Share dividends, assuming a minimum of 10% shareholdings have been held uninterrupted since the start of the financial year prior to receipt of the shareholders' dividend;
	ii)	Signed consent to act as director and shareholder;
	iii)	The Memorandum of Association;
	iv)	The Articles of Association;
	v)	Luxembourg registered office address.
10.	Within one month of setting up the company, Healy Consultants will assist the the client in registering the company in the Luxembourg Business Register.
11.	Healy Consutalnts will also support the client by assisting them with registering for Income Tax, Value Added Tax (VAT) and Social Security
12.	Healy Consultants compliance team prepares all post incorporation documents, including minutes of the first meeting, preparation of By Laws, assurance of initial Share Certificates.
13.	Upon receipt of original client signed corporate documents, Healy Consultants couriers a company kit folder, to our client's preferred international address, containing the following corporate documents:
	i)	Original copy of Luxembourg Certificate of Incorporation;
	ii)	Original bound copy of the Memorandum and Articles of Association;
	iii)	Original share certificates;
	iv)	Client feedback form.
14.	To support Luxembourg company set up, Healy Consultants completes corporate bank account opening for our client, which includes world-class multi-currency internet banking facilities. Healy Consultants works with internationally recognised banks including HSBC, Standard Chartered and Citibank to provide corporate bank account services.
15.	If required, Healy Consultants provides our client with a local business address details in Luxembourg for invoicing purposes, along with telephone, fax and email support;
16.	To support Luxembourg company set up, Healy Consultants assists our client with business website building, search engine advertising, as well as stationery and logo design;
17.	Healy Consultants assists our client to obtain corporate finance, trade finance and open merchant accounts;
18.	To support Luxembourg company set up, Healy Consultants aids our client to locate business premises and recruit local staff in Luxembourg, if required.
