Prior to Russia company set up, our client settles our fees and signs Healy Consultants' engagement letter.

Before Russia company set up, Healy Consultants collects the required due diligence from our client, including passport copies, proof of address, and details of the company's intended activities.

Foregoing Russia company registration, our client and Healy Consultants also agree the company name and the optimum corporate structure, including shareholders and directors.

Healy Consultants opens an ESCROW bank account in Russia on behalf of our client, and deposits half the minimum paid-up capital required for an LLC (US$185). The bank issues confirmation of the same which is promptly forwarded to the client.

Prior to Russia company set up, Healy Consultants prepares company registration documents for our client's signature and return to us. These include:

• Protocol of the founders’ meeting;
• Foundation agreement;
• Company charter;
• Confirmation of company's legal address;
• Proof of contribution to the Charter Capital of the company.

Healy Consultants incorporation team submits the signed documents, with the State Registration Chamber (SRC) and local authorities in the city of incorporation to complete Russia company registration. Russia company set up is completed with the corporate structure as approved by our client.

On behalf of our Client, Healy Consultants submits the temporary registration certificate, in addition to the supporting company documents outlined in Point 6 above, to the local authorities in the city of registration.

Healy Consultants registers the company with the State Statistics Committee, submitting the documents as outlined in Point 6 above.

Ten days after Russia company registration with the SRC, Healy Consultants submits an application with necessary documents to the local tax authorities.

Healy Consultants submits an application to the Pension, Employment, Social Insurance and Medical Insurance Funds.

Upon completion of the above-described Russia company set up procedures, Healy Consultants obtains a permanent registration certificate from the SRC.

Following Russia company registration, Healy Consultants provides our client with a complete company kit including:

• Original certificate of incorporation;
• A bound copy of the Russian government approved Articles of Association;
• Original share certificates;
• Confirmation of company's legal address;
• An original Russia government receipt as evidence of payment of annual Russia company registration and license fees.

To support Russia company set up, Healy Consultants' banking team completes corporate bank account opening for our client. The account includes world-class multi-currency internet banking facilities and our client is not required to visit Russia to complete this task.
