Prior to Spain company set up, our client settles our fees and signs Healy Consultants' engagement letter.

Prior to Spain company set up, Healy Consultants collects the required due diligence from our client, including passport copies, proof of address, and details of the company's intended activities.

In advance of Spain company registration, our client and Healy Consultants also agree the company name and the optimum corporate structure, including shareholders and directors. Healy Consultants Incorporation Team liaises with the Mercantile Registry of Spain to check whether our client's preferred company name is available. The team will obtain a certification of uniqueness of proposed company name from the Mercantile Registry.

Before Spain company set up, Healy Consultants prepares incorporation documents for our client's signature and return to us.

The Team will submit the public deed of incorporation of the company for its registration with the Mercantile Registry. Once approved, the regarding documents will be sent to our client.

Healy Consultants Incorporation Team will submit Declaración Censal de Inicio de Actividad and obtain the Tax Identification Code (CIF – Codigo de Identificacion Fiscal) from the Delegación Provincial de la Agencia Estatal de la Administración Tributaria.

To support Spain company set up, Healy Consultants' Banking Team completes corporate bank account opening for our client. The account includes world-class multi-currency Internet banking facilities and our client is not required to visit Spain to complete this task. Prior to Spain company registration, the company's share capital is also deposited into the bank account. In Spain, Healy Consultants can work with internationally recognized banks such as Citibank.

Prior to Spain company set up, Healy Consultants' Incorporation Team prepares the company's constitution (also known as the Escritura), which is then sent to our client for signature and return to our office. Healy Consultants also obtains a certificate from the Mercantile Registry that the constitution has been signed.

Following Spain company registration, Healy Consultants provides our client with a complete company kit including i) original Certificate of Incorporation ii) a bound copy of Spain government approved Articles of Association iii) original share certificates iv) an original Spain government receipt as evidence of payment of annual Spain company registration and license fees.

Following Spain company set up, Healy Consultants obtains a temporary tax code from the Tax Office, and pays a stamp duty of 1% of the initial share capital. Following this step, Healy Consultants obtains a final tax code for the company by presenting the Mercantile Registry's constitution certificate at the Tax Office.

To support Spain company set up, Healy Consultants provides our client with a local business address in Spain for invoicing purposes, together with telephone, fax and email support.

Healy Consultants assists our client with business website building, search engine advertising, as well as stationery and logo design, to support Spain company incorporation.

Healy Consultants assists our client to obtain corporate finance, trade finance and to open merchant accounts to accompany Spain company set up.

If required, Healy Consultants assists our client to locate business premises in Spain and recruit local staff following Spain company set up.
