Sweden Company Set Up Procedures

Sweden company set up is straightforward, as reflected in the World Bank's positive 14th place ranking of Sweden in its 2011 Doing Business survey. Because of our logical approach to each engagement and our professional staff, Healy Consultants will complete Sweden company registration within two weeks. The following is an overview of typical engagement procedures relating to Sweden company set up:

1.
Prior to Sweden company registration, our client settles Healy Consultants' fees and signs our Firm's engagement letter. Healy Consultants provides our client with a detailed engagement plan, outlining a roadmap for Sweden company set up, thus minimising unwanted surprises and meeting client expectations.
2.
Our client and Healy Consultants agree the legal, tax and accounting implications of Sweden company registration.
3.
Healy Consultants collects the required due diligence from our client, including passport copies, proof of address, and details of the company's intended activities.
4.
In advance of Sweden company set up, our client and Healy Consultants also agree the company name and the optimum corporate structure, including shareholders and directors.
5.
Prior to Sweden company registration, Healy Consultants arranges to pay the required paid-up capital of 100,000 Swedish kronor (US$12,600) to a local bank.
6.
Healy Consultants prepares corporate documents for our client's signature and return to our office.
7.
Our incorporation team submits the corporate documents, along with proof of payment of minimum capital, to the Swedish Companies Registration Office. One week later, the Companies Registration Office issues a Certificate of Incorporation, along with a business registration number, copies of which are passed to our client. Following Sweden company set up, the business registration number is used when dealing with taxation and when filing annual reports. In accordance with Swedish company law, it is also mandatory to display the registration number on the company's letterheads, invoices, stationery and website.

Following Sweden company registration, Healy Consultants registers the company with an approved public accountant (registered by the Supervisory Board of Public Accountants), whose responsibility will be to audit the new company. A recently introduced law provides exemption from this requirement provided guidelines are met. These guidelines relate to number of employees, size of assets and turnover.
9.
Healy Consultants registers the new company with the Swedish Tax Agency.
10.
To support Sweden company registration, Healy Consultants' banking team completes corporate bank account opening for our client. The account includes world-class multi-currency internet banking facilities and our client is not required to visit Sweden to complete this task.
11.
To support company registration, Healy Consultants provides our client with a local business address in Sweden for invoicing purposes, together with telephone, fax and email support where required.
12.
Healy Consultants assists our client with business website building, search engine advertising, as well as stationery and logo design, to support Sweden company incorporation.
13.
Healy Consultants assists our client to obtain corporate finance, trade finance and to open merchant accounts to accompany Sweden company set up.
14.
If required, Healy Consultants assists our client to locate business premises in Sweden and recruit local staff following Sweden company registration.
15.
Following Sweden company set up, Healy Consultants emails an engagement feedback survey to our client.
