Switzerland Company Set Up Procedures

Switzerland company set up is straightforward thanks to Healy Consultants' transparent, logical engagement procedures which usually takes three weeks. The following is an overview of the typical engagement procedures relating to Switzerland company set up 
1.
Prior to Switzerland company set up, our client signs Healy Consultants engagement letter and returns the original to our Singapore Head Office.
2.
Healy Consultants provides our client with a detailed engagement plan, outlining a roadmap for Switzerland company registration, thus minimising unwanted surprises and meeting client expectations.
3.
Our client and Healy Consultants agree the legal, tax and accounting implications of Switzerland company registration.
4.
Prior to Switzerland company set up, Healy Consultants collects the required due diligence from our client, including passport copies, proof of address, and details of the company's intended activities.
5.
Prior to Switzerland company registration, our client and Healy Consultants also agree the company name and the optimum corporate structure, including shareholders and directors.
6.
Healy Consultants Incorporation Team performs a company name search with the Office of the Commercial Registry and, if approved, we begin incorporation of your Switzerland company.
7.
Prior to Switzerland company set up, Healy Consultants prepares incorporation documents including articles of incorporation, and resolutions to appoint members of the board of directors and the company auditors. These documents are notarised by the Swiss notary public, and then sent to our client for signature and return to us.

To support Switzerland company set up, Healy Consultants opens an ESCROW bank account in Switzerland on behalf of our client, and deposits the minimum paid-up capital required for an AG (50,000 Swiss Francs (US$40,300)). The bank issues confirmation of the deposit.

Healy Consultants Incorporation Team emails the following corporate documents to our client for his signature and return to us: Notarised Deed of Incorporation; Certified copy of the Memorandum and Articles of Association; Consent to act as director and shareholder and Signatures on the above documents must be notarised by our client, and legalised by the Swiss embassy or consulate, in their country of residence.

Healy Consultants Incorporation Team applies to register the company at the Office of the Commercial Registry by filing the required notarised and legalised documents, as well as confirmation from the bank that the initial share capital has been deposited.

Healy Consultants’ Incorporation Team receives an email of the Certificate of Incorporation from the Switzerland Registrar of Companies. Our team will immediately email the same to you.
12.
Healy Consultants Compliance Team prepares all post incorporation documents, including minutes of the first meeting, preparation of By Laws, and issuance of initial share certificates.
13.
Upon receipt of the signed documents above, Healy Consultants files a Switzerland company registration application to the Office of the Commercial Register, submitting documents including: i) the notarised deed of incorporation, ii) a certified copy of the articles of incorporation, iii) declarations of acceptance from the initial board members and auditors iv) a confirmation by a Swiss bank that the initial share capital has been paid-in, and v) a board resolution concerning the constitution of the board of directors.f
14.
Healy Consultants receives notification from the Office of the Commercial Register that the company has been registered in the Commercial Register. Registration is also confirmed in the Swiss Official Gazette of Commerce.
15.
Following Switzerland company set up, Healy Consultants pays a one-off stamp tax to the Swiss tax office.
16.
Following Switzerland company registration, Healy Consultants provides our client with a complete company kit including i) original Certificate of Incorporation ii) a bound copy of Switzerland government approved Articles of Association iii) original share certificates iv) an original Switzerland government receipt as evidence of payment of annual Switzerland company registration and license fees.
17.
To support Switzerland company set up, Healy Consultants' Banking Team completes corporate bank account opening for our client. The account includes world-class multi-currency Internet banking facilities and our client is not required to visit Switzerland to complete this task. Healy Consultants works with internationally recognised banks such as HSBC, Standard Chartered and Citibank to provide corporate bank account services.
18.
To support Switzerland company set up, Healy Consultants provides our client with a local business address in Switzerland for invoicing purposes, together with telephone, fax and email support.
19.
Healy Consultants assists our client with business website building, search engine advertising, as well as stationery and logo design, to support Switzerland company registration.
20.
Healy Consultants assists our client to obtain corporate finance, trade finance and to open merchant accounts to accompany Switzerland company set up.
21.
If required, Healy Consultants assists our client to locate business premises in Switzerland and recruit local staff following Switzerland company set up.
22.
