Thailand Company Set Up Procedures

Although Thailand company set up is a time consuming process, Healy Consultants' transparent, logical engagement procedures ensures that it is as smooth as possible. Typically, Thailand company set up evolves as follows:
1.	Our client settles our fees and signs Healy Consultants' engagement letter.
2.	Healy Consultants provides our client with a detailed engagement plan, outlining a roadmap for the Thailand company set up project, thereby minimising unwanted surprises and meeting client expectations. The Thai company structure, including shareholders and directors is confirmed by our client and only then will Healy Consultants proceed with company incorporation.
3.	Healy Consultants collects all required corporate and personal due diligence information from our client, before Thailand company set up.
4.	Prior to Thailand company set up, Healy Consultants incorporation team performs a company name search with the Commercial Registrar’s Office at the Ministry of Commerce and, if approved, we reserve the company name and begin incorporation of your Thai company.
5.	To support Thailand company set up, Healy Consultants incorporation team prepares the company’s Memorandum of Association containing details of the following:
	i)	Company name (as reserved with the Commercial Registrar's Office);
	ii)	Head office location;
	iii)	The company’s objectives;
	iv)	Registered capital (the initial registered capital of the company, including the number and par value of shares);
	v)	Names, addresses and occupations of seven shareholders.
6.	The Memorandum is sent to our client for signature and each shareholder is also required to sign the same share subscription form.
7.	Healy Consultants incorporation team submits the Memorandum of Association to the Commercial Registrar’s Office for approval in order to support Thailand company set up.
8.	As required by law, eight days after the Memorandum of Association is approved, Healy Consultants holds a statutory meeting and shareholders deposit not less than 25% registered capital.
9.	In order to support Thailand company set up, Healy Consultants incorporation team files the following with the Commercial Registrar’s Office:
	i)	Names, addresses, occupations, and nationality of the initial shareholders of the company, including a statement of the number of shares held by each;
	ii)	Head office address: including a letter from the landlord granting permission to use the premises, or a copy of the lease agreement;
	iii)	Company’s Bylaws;
	iv)	Names, addresses, occupations, and nationalities of members of the initial board of directors;
	v)	Names of directors authorised to sign on behalf of the company;
	vi)	The name of a certified auditor, licensed to practice in Thailand, together with the auditor's CPA number and the amount of remuneration to be paid for the audit of the first fiscal year, must be stated;
	vii)	The company’s intended financial year.
10.	Healy Consultants receives a Certificate of Registration from the Commercial Registrar’s Office for our client’s company.
11.	Healy Consultants incorporation team registers the company with the Thailand Revenue Department and obtains a Taxpayer ID card.
12.	Healy Consultants compliance team prepares post incorporation documents, including minutes of first meeting, preparation of By Laws.
13.	Healy Consultants legally completes Thailand company set up with the correct corporate structure, see also Thailand company registration procedure.
14.	Healy Consultants completes corporate bank account opening for our client to support Thailand company set up. The bank account includes world-class multi-currency Internet banking facilities. Healy Consultants works with internationally recognised banks such as HSBC, Standard Chartered and Citibank to provide corporate bank account services.
15.	To support Thailand company set up, Healy Consultants provides our client with a local business address details for invoicing purposes, together with telephone, fax and email support.
16.	To support Thailand company set up, Healy Consultants assists our client with business website building, search engine advertising, as well as stationery and logo design.
17.	To support Thailand company set up, Healy Consultants assists our client to obtain corporate finance, trade finance and to open merchant accounts.
18.	Healy Consultants assists our client to locate business premises and recruit local staff to further support Thailand company set up.
19.	Following completion of the engagement, Healy Consultants emails an engagement feedback survey to our client.
