How to incorporate a company in Iraq

Please find below the steps for incorporating a limited liability company in Iraq:

1Before Healy Consultants can officially start the company incorporation process, we will require our Client to i) settle our engagement fees ii) sign our engagement letter and courier it along with iii) the requisite due diligence documents;Month 1
2After receipt of the above, Healy Consultants will draft a detailed engagement plan, mapping the complete incorporation process. This plan will optimise Healy Consultants' work transparency and settle our Client's expectations;Month 1
3Our Client will provide us i) the intended corporate structure and ii) three names (in order of preference) for their company. Healy Consultants will proceed to reserve the company name with the Baghdad Chamber of Commerce and Federation of Chambers of Commerce. Healy Consultants will also provide our Client with our Iraq business address to support their company. Additionally, our Client may also request our telephone, fax and email support for their company following entity establishment;Month 1
4After the name is reserved, Healy Consultants will apply for Tax Clearance Certificates for all the company's shareholders from the General Commission for Taxes;Month 1
5Healy Consultants will now approach Iraqi banks to open a new corporate bank account for our Client's company. Our team i) will prepare all the bank account opening documents and ii) will liaise with the officers to prevent our Client from having to travel for an interview. Immediately after the account opening, our Client will proceed to deposit the share capital;Month 3
6After receiving the certificate of deposit from the bank, Healy Consultants will prepare the Memorandum of Association for the new company. Thereafter, the company incorporation application will be submitted at the Registrar's office at the Ministry of Trade. The application will contain the following information: i) name and objective of the company ii) business address and contact details of the office iii) details of the shareholder(s) and director(s) and iv) the ownership structure. Furthermore, following documents will need to be submitted:

  • Notarized and legalized passport copies of the director(s) and individual shareholder(s);
  • Notarized and legalized copies of certificate of registration and M&AA of the corporate shareholder(s);
  • Notarized and legalized Power of Attorney in favour of Healy Consultants' Iraqi representative and
  • Bank statement certifying the deposit of the share capital;
Month 3
7If the shareholders of the company are foreigners, the Ministry of Trade will transfer all corporate and personal documents to the Ministry of Interior for security approval. On an average, this process will take about 4 months;Month 7
8After receiving the application approval from the Ministry of Interior and the Ministry of Trade, Healy Consultants will i) collect the Registration Certificate ii) make a new company seal and iii) register the company with the General Commission for Taxes;Month 8
9Healy Consultants will assist our Clients with i) notarizing the company’s accounting books and ii) registering the company's employees with the Social Security office. The engagement is now complete;Month 9
10Finally, Healy Consultants will courier a full company kit to our Client, including original Iraq corporate documents, unopened bank correspondence and a Client feedback survey.Month 9
