10 steps to incorporate in Serbia in 2024
- Prior to incorporating a company in Serbia, our Client i) settles Healy Consultants’ incorporation fees ii) signs and returns our Client engagement letter and iii) provides us all the required due diligence documents ;
- Healy Consultants drafts a detailed Serbia company incorporation project plan . This plan will map out, week by week, each step to engagement completion, optimizing transparency and setting Client expectations;
- Healy Consultants assists our Client to decide on i) proposed company’s name and ii) the optimum corporate structure including directors and shareholders. Healy Consultants will collect all necessary due diligence from our Client and details of the proposed company’s activities. Next, Healy Consultants will carry out a company name search on behalf of the Clients’ company and thereafter proceed to reserve the proposed legal company name;
- After this, Healy Consultants will courier all the incorporation documents to our Client to sign and send back and then we will have them notarized at the Basic Court or the Municipality in Serbia;
- Healy Consultants will then proceed to open a corporate bank account for the company and deposit the initial capital if required then pay the registration fees so that the Serbia incorporation process can be completed successfully;
- Next Healy Consultants will apply for and obtain i) the incorporation certificate ii) tax identification number and iii) Pension Fund (PIO Fund) and Health Fund certificates;
- Healy Consultants will then make a stamp and a seal for our Client’s company after which we will register the company as a taxpayer and obtain a registration number from the local tax authority;
- Our Client will then supply Healy Consultants with a lease agreement of their office premises. If our Client does not have a business premise, Healy Consultants will provide virtual office services for the first six months or until our Client finds a business address;
- Healy Consultants will then register the employment contracts with the Employment Fund to facilitate statutory fund contributions;
- Following the engagement completion, Healy Consultants will courier a full company kit to our Client, including original documents, unopened bank correspondence and a Client feedback survey.
