  1. Before setting up a company in Zimbabwe, our Client i) settles Healy Consultants’ engagement fees ii) signs our Client Engagement letter and iii) provides us all the due diligence documents (passport copies, proof of address, details of the company’s intended activities);
  2. Healy Consultants will then draft a detailed Zimbabwe company setup engagement project plan. This plan will map out, week by week, each step to engagement completion, optimising transparency and setting Client expectations;
  3. Next, Healy Consultants incorporation team does a company name check with the Registrar of Companies. If available, Healy Consultants will reserve the company name with the Chief Registrar of Companies on behalf of the Client;
  4. Our Client and Healy Consultants reaches an agreement regarding the best corporate structure, including the directors and secretaries. After a corporate structure is agreed, Healy Consultants will prepare the M&AA for Client signature and courier return. The M&AA will then be filed with the Registrar of Companies for approval;
  5. After approval of the CR21 company name application. Healy Consultants will thereafter submit the signed Memorandum and Articles of Association to the Registrar of Companies together with CR14 and CR6 application for Certificate of Incorporation. The company is now legally incorporated;
  6. Healy Consultants banking team assists our Client secure a corporate bank account with world class internet banking facilities including corporate debit and credit card and a cheque book. Healy Consultants work with internationally recognized banks such as Barclays Bank and Standard Chartered Bank as well as local banks like Ecobank and Stanbic Bank;
  7. Where possible, Healy Consultants will liaise with the bank to prevent our Client from travelling for account opening interview;
  8. Healy Consultants on behalf of our Client, will register for i) Income tax and VAT with the Zimbabwe Revenue Authority Office and obtain the Tax Clearance certificate ii) pension, accident prevention and compensation scheme with the National Social Security Authority and iii) Manpower Development Fund;
  9. In accordance with Zimbabwe Companies Law, Healy Consultants incorporation team will then i) collect the license application notice from the City Health Department ii) advertise the trade and business license application in the local dailies iii) help our Client find a business premises;
  10. Healy Consultants completes additional required procedures for incorporation with the following bodies: i) Zimbabwe licensing office and ii) Harare town planner;
  11. Following engagement completion, Healy Consultants couriers the full company kit including the original corporate documents, bank correspondence and Client feedback survey to our Client’s preferred address.
