10 steps to incorporating in Equatorial Guinea in 2024
Thanks to our Equatorial Guinea business incorporation services, our Client will not have to travel to start his company in Equatorial Guinea. Our incorporation agent will then complete all procedures on his behalf. Please refer to this page for standard timelines to complete the engagement, which is usually completed following the below steps:
- Before Healy Consultants starts to incorporate the company in Equatorial Guinea, our Firm requests that our Client i) settles our fees requested to project-manage the engagement ii) signs and returns our engagement letter and iii) provides us all the documents required for our due diligence checks;
- Healy Consultants drafts a detailed project plan for Equatorial Guinea company formation and corporate bank account opening services in Equatorial Guinea: this document will map out, week by week, each step towards engagement completion;
- Healy Consultants assists our Client to decide on i) proposed company’s name and ii) the optimum corporate structure including directors and shareholders;
- Next, Healy Consultants will collect all necessary due diligence from our Client and details of the proposed company’s activities and then proceed to open a corporate bank account for the company with one of the recommended banks in Equatorial Guinea. Our Client will then deposit the required initial capital into the corporate bank account and obtain a deposit slip;
- Healy Consultants will engage a notary on behalf of our Client to draft the statutes and certify the paid-in capital;
- Healy Consultants will then reserve our Client’s company name at the Court and obtain a name reservation certificate;
- After this, Healy Consultants will have all registration documents as well as a sworn declaration of our Client (unless a criminal record clearance certificate is available) translated into French and courier to our Client to sign and send back and then we will have them notarized. Our Client must submit a criminal record clearance certificate within two months of the company’s incorporation;
- Next Healy Consultants will register the company at The Formalities Centre for Enterprises (CEFORE) with i) the Trade Register and Personal Credit in order to obtain the unique company identification number for company registration ii) the Tax Authority in order to obtain the fiscal identification (IFU) iii) the National Social Security Fund to obtain the social security number and iv) the Ministry of Commerce to obtain the professional license;
- After this, our Client will then supply Healy Consultants with a lease agreement of their office premises. If our Client does not have a business premise, Healy Consultants will provide virtual office services for the first six months or until our Client finds a business address;
- Following the company incorporation engagement completion, Healy Consultants will courier a full company kit to our Client, including original documents, unopened bank correspondence and a Client feedback survey to assess the quality of our Equatorial Guinea company formation services.
