10 steps to incorporating in Uzbekistan in 2024

1. Prior to commencing the company incorporation process, our Client i) settles Healy Consultants’ fees, ii) signs and returns our Client engagement letter and iii) provide us all the required due diligence documents;
2. Thereafter, Healy Consultants drafts a detailed engagement project plan, mapping out by week each step to engagement completion, optimizing transparency and setting Client’s expectations;
3. Our Client provides us the proposed name for their new company, after which our experts proceed to reserve the company name with the Uzbekistan State Statics Committee. The reserved name will be valid for 2 months;
4. The exact corporate structure is agreed with the Client. Our Client also provides the lease agreement for their office premises. If not possible, the Client may use Healy Consultants’ Uzbekistan virtual office services until they are able to secure a preferred business address;
5. Our experts prepare the company incorporation documents including i) online application form ii) shareholder agreement iii) company charter and iv) company seal design. These documents are sent to the Client for their signature and notarization;
6. Next, Healy Consultants submits the aforementioned documents to the Companies Registrar, along with the receipt confirming the payment of the registration fee. Thereafter, our Client’s company will be incorporated;
7. After receiving the certificate of incorporation, Healy Consultants will proceed to open a bank account with a local Uzbek bank. For this purpose, we will submit i) the company documents and ii) director & shareholder identification documents. Only resident director(s) of Uzbek companies can be appointed as bank signatories of an Uzbekistan corporate bank account. In addition, the bank signatory has to visit the bank in order to open the account;
8. The bank will email our Client the bank account numbers and internet banking information. thereafter, our Clients may deposit the initial share capital;
9. Now, Healy Consultants will register the newly formed company for taxation purposes, after which our Client will be able to commence operations and invoice Clients;
10. The process of Uzbekistan company registration is now complete. With the engagement complete, Healy Consultants will courier a full company kit to our Client; the kit includes the original corporate documents, unopened bank correspondence and a feedback form.
