How to incorporate a company in Burundi in 2024

1. Before Healy Consultants starts to incorporate our Client’s company in Burundi, our Firm requests that he or she i) settles our fees requested to project-manage the engagement ii) signs and returns our engagement letter and iii) provides us scans of all the documents required for our due diligence checks;
2. Healy Consultants assists our Client to decide on i) proposed company’s name and ii) the optimum corporate structure including directors and shareholders;
3. Our project manager then drafts a detailed project plan for Burundi company formation and corporate bank account opening services in Burundi. This document will map out each step towards engagement completion;
4. Healy Consultants will collect all necessary due diligence from our Client and details of the proposed company’s activities and then proceed to open a corporate bank account for the company with one of the recommended banks in Burundi and then if required, deposit the required initial capital into the corporate bank account and obtain a deposit slip;
5. Then Healy Consultants will have all registration documents translated into French and courier to our Client to sign and send back and then we will have them notarized;
6. Healy Consultants will then submit all registration documents to the Burundi Investment Promotion Agency (API) including i) completed application form for the creation of a new company ii) company statutes iii) completed application form for registration with the Registry of Commercial Courts iv) completed application form for registration with the Burundi Revenue Authority (OBR) to obtain the Tax Identification Number (NIF) and v) due diligence of all partners;
7. Next Healy Consultants will pay the registration fees at the commercial bank cashier at the API and obtain a receipt. Then, Healy Consultants will proceed to make a company seal on behalf of our Client;
8. Healy Consultants will then register the company with i) Municipality of Bujumbura, ii) Ministry of Trade and Industry, iii) Ministry of Labour, Department of Work Inspection and iv) National Institute for Social Security and obtain the necessary licenses;
9. After this, our Client will then supply Healy Consultants with a lease agreement of their office premises in Burundi. If our Client does not have a business premise, Healy Consultants will provide virtual office services for the first six months or until our Client finds a business address;
10. Following the company incorporation engagement completion, Healy Consultants will courier a full company kit to our Client, including original documents, unopened bank correspondence and a Client feedback survey to assess the quality of our Burundi company formation services.
