10 steps to incorporating in Congo in 2024
Our Firm will be pleased to assist our Clients to incorporate their company in Congo, which also requires the opening of a corporate bank account in the country. The average timelines to complete each step of the engagement can be found on this timeline page. The standard procedures for the formation of a business in Congo are as follow:
- Before proceeding with Congo business incorporation, Healy Consultants expects our Clients to i) settle the fees applicable to the engagement ii) sign and return our engagement letter and iii) provide all the documents requested for our due diligence checks;
- Healy Consultants drafts a detailed Congo company formation engagement project plan mapping out a step by step incorporation engagement process and corporate bank account opening process. Such documents contributes to the transparency of the procedures and to set our Client’s expectations towards engagement completion timelines;
- Our team complete the opening of a corporate bank account in Congo, onto which our Client then deposits the legally required minimum paid-up capital of the company. Our team then obtains the certificate of deposit requested by the authorities to allow the formation of the company in Congo;
- Our Firm then i) drafts the new company’s memorandum and articles of association and ii) notarizes the company documents with a Notary Public;
- We then i) obtain extracts of criminal record from the Court of First Instance ii) register the M&AA with the Congo fiscal authority and iii) with the commercial register at the Registry of the Commercial Court. The company is then incorporated in Congo;
- Subsequently, Healy Consultants registers the company with i) the Centre for Business Formalities (CBE) and ii) the Chamber of Commerce and iii) the National Center for Statistics and Economic Studies (CNSEE);
- Healy Consultants Incorporation Team then i) registers with Unique Identification Centre (CIU) and obtains the Tax identification Number (NUI) for the newly registered Congo company;
- Healy Consultants publishes the a notice of new company incorporation with the Congo Official Gazette;
- Healy Consultants continues to register the new company with i) the Regional Director of Labor ii) Social Security Authority (CNSS) and iii) notify the Ministry of Labor (ONEMO) of commencement of operations;
- Following registration of the company in the Republic of Congo, Healy Consultants will courier to our Client’s preferred international address the complete company kit including i) original corporate documents ii) an unopened bank correspondence and iii) a Client engagement feedback survey to assess the quality of our business incorporation services in Gabon.
