10 steps to incorporating in Ghana in 2024
- Prior to commencing the Ghana company incorporation process, our Client i) settles Healy Consultants’ project fees, ii) signs and returns our engagement letter and iii) provides us all the required due diligence documents;
- Healy Consultants drafts a detailed company setup engagement plan. This plan will map out, week by week, each step to engagement completion, optimizing transparency and settling Client expectations;
- Healy Consultants assists our Client to determine i) the company’s name and ii) the optimum corporate structure including directors and shareholders. Healy Consultants will collect all necessary due diligence from our Client and details of the proposed activities;
- Next, Healy Consultants will obtain a Tax Identification number for our Client from Ghana Revenue Authority (GRA) before proceeding to incorporate the company;
- Our Client will then supply Healy Consultants with a lease agreement of their office premises. If our Client does not have a business premise, Healy Consultants will provide virtual office services for the first six months or until our Client finds a business address. An officer from the Accra Metropolitan Assembly will then visit the business premises for inspection;
- After this, Healy Consultants will courier all the incorporation documents to our Client for their signature and notarization. We will then carry out a company name search on behalf of the Clients’ company; thereafter we will proceed to reserve the proposed name of the company and submit the company documents to the Registrar General Department at the Ghana Investment Promotion Centre and obtain the certificate of incorporation;
- Next, Healy Consultants will prepare the forms required to obtain the certificate to commence business and submit them to a Commissioner of Oaths for authentication. Subsequently, the Registrar General Department will issue the certificate;
- Next, Healy Consultants will open a corporate bank account, following which the Client will deposit the initial capital;
- Healy Consultants will then apply for business licenses at the Accra Metropolitan Assembly. Our experts will also register the company for social security with the Social Security and National Insurance Trust (SSNIT) office;
- The company incorporation engagement is now complete. Healy Consultants will courier a full company kit to our Client, including original documents, unopened bank correspondence and a Client feedback survey.
