Before Japan company setup, our client receives a detailed engagement plan from Healy Consultants, showing clearly the upcoming processes and potential obstacles. |

2.

Prior to Japan company set up, fees transfer is completed by our client, who also completes and signs Healy Consultants' client engagement letter. |

3.
|
Before Japan company set up begins, Healy Consultants submit a name approval application to the Legal Affairs Bureau of the Ministry of Justice. |

4.
|
The next stage in Japan company setup is to prepare the company’s Articles of Incorporation, which is subsequently couriered to the clients for signing and return. |

5.
|
Healy Consultants starts Japan company set up with the correct corporate structure as outlined by our client. |
|||||||||||||||
6.
|
Healy Consultants arranges to have three seals (representative seal, the everyday use seal and the company name seal). An application for a seal certificate is made to the Tokyo Ward office. |

7.

Healy Consultants incorporation team visits the Legal Affairs Bureau to submit the following: |
|||||||||||||||
i) Articles of Incorporation; |
||||||||||||||||
ii) Shareholders/directors due diligence; |
||||||||||||||||
iii) Payment of the 95,000 Yen (US$935) notarisation and fiscal stamps fees; |
||||||||||||||||
iv) The seal certificate; |
||||||||||||||||
v) Submit a lease agreement (Healy Consultants will provide a lease agreement at additional cost). |
||||||||||||||||
vi) 278,300 Yen (US$2,530) company registration and notices fee. Approximate cost based on Kabushiki Kaisha company. |

8.

Following approval, in writing, by the Legal Affairs Bureau, Healy Consultants mails the same to the client for their reference. |

9.
|
Healy Consultants incorporation team approach the District Tax Office in Tokyo to file notice of the new Japan company set up. |
|||||||||||||||
10.
|
Healy Consultants compliance team prepares all post Japan company set up documents, including minutes of the first meeting, preparation of By Laws, assurance of initial share certificates. |
|||||||||||||||
11.
|
Following Japan company setup, Healy Consultants opens a corporate bank account with an internationally-recognised bank which has world-class, multi-currency internet banking such as HSBC Japan. |

12.
|
Healy Consultants assists our client to obtain corporate finance, trade finance and to open merchant accounts following Japan company set up. |

13.
|
After Japan company set up, Healy Consultants provides our client with a local business address, as well as telephone, fax and email support if required. |

14.

To support Japan company set up, Healy Consultants also builds a business website, assists to develop a search engine advertising campaign, design logos and stationery for our client. |

Following Japan company set up, Healy Consultants e-mails an Engagement Feedback Survey to our client. |
