Incorporation of a company in Austria can be completed in an average of four months. Our Client will not have to travel to Austria, by issuing a Power of Attorney to the Austrian business incorporation agent who will them complete all procedures on his behalf, including the opening of a corporate bank account in Austria for the company. The typical procedures are as follow:

  1. Before Healy Consultants starts to incorporate the company in Austria, our Client settles our fees and signs our engagement letter, prior. Thereafter, Healy Consultants provides our Client with a detailed project plan, outlining all steps toward completion of Austria business incorporation, minimizing the risk of unwanted surprises and ensuring that our Client’s expectations are met;
  2. To start the project, Healy Consultants will i) collect the required due diligence from our Client, including passport copies, proof of address, and details of the company’s intended activities, ii) agree on the company name and the optimum corporate structure, including shareholders and directors. Our team will also contact the bank chosen by our Client to open a provisional account, on which the minimum share capital will later be transferred;
  3. Healy Consultants’ incorporation team then prepares a NEUFÖ form (incorporation form) to be confirmed by the Economic Chamber. This allows to reserve the name of the new company in Austria;
  4. Healy Consultants prepares a Memorandum and Articles of Association (M&AA, or Gesellschaftsvertrag) that must be executed in front of a Notary Public (Notar) by means of a notary deed (Notariatsakt). After notarization of the M&AA, the minimum capital of the company is transferred to a provisional bank account opened for such purpose;
  5. Healy Consultants’ incorporation team prepares and sends a registration application along with i) the company’s M&AA ii) a notarized declaration of establishment iii) a declaration from the bank confirming the deposit of the paid-up capital and iv) signatures of the managing directors;
  6. Continuing with Austria company set up, a trade license from the trade authority (Bezirksverwaltungsbehörde) is obtained by Healy Consultants’ team;
  7. Healy Consultants then registers the company with the relevant local municipality and submits a form to the tax authority along with i) the company’s M&AAA ii) its opening balance sheet iii) an excerpt of the register of the company iv) an ID-card of a managing director v) signatures of the representatives;
  8. Following incorporation of the business in Austria, Healy Consultants provides our Client with a complete company kit including i) original Certificate of Incorporation of the Austrian company ii) bound copy of Austria government-approved Articles of Association iii) original share certificates iv) original government receipt as evidence of payment of annual company registration and license fees v) Client engagement feedback survey to assess the quality of Healy Consultants’ Austria business incorporation services;
  9. Healy Consultants’ Banking Team completes corporate bank account opening for our Client. The account includes world-class multi-currency Internet banking facilities and our Client is not required to visit Austria to complete this task. In Austria Healy Consultants can work with banks that are highly regarded locally and internationally such as Bank Austria Creditanstalt. Healy Consultants also work with internationally recognized banks such as HSBC, Standard Chartered and Citibank to provide corporate bank account services. Additionally Healy Consultants assists our Client to obtain corporate finance, trade finance and to open merchant accounts;
  10. Healy Consultants provides our Client with a local business address and offer virtual office services in Austria for invoicing purposes, together with telephone, fax and email support. If required, Healy Consultants will assist our Client to locate business premises in Austria and recruit local staff.
