10 steps to incorporating in Croatia in 2024

1. Before Healy Consultants starts to incorporate our Client’s company in Croatia, our Firm requests that he or she i) settles our fees requested to project-manage the engagement ii) signs and returns our engagement letter and iii) provides us all the documents required for our due diligence checks;
2. Our project manager then drafts a detailed project plan for Croatia company formation and corporate bank account opening services in Croatia or abroad. This document will map out each step towards engagement completion;
3. Our Firm then reserves the company name chosen by our Client with the Croatian Commercial Court. After the name of the company is approved and assuming the corporate structure of the company has been finalized, our Firm then prepares a draft copy of the M&AA for our Client’s approval;
4. Our Clients returns us the signed M&AA (certified by a Notary Public) and other documents required for Croatia company registration. Our Firm submits a complete company incorporation application file to the Commercial Court;
5. After incorporation of the Croatian company, we order the company’s seal;
6. After receipt of the seal, we open a capital account with a Croatian commercial bank. Our Client transfers the paid up share capital of the company and couriers us the certificate of deposit issued by the bank;
7. We then register the company for VAT and as an employer with the Croatian tax authority;
8. Meanwhile, we pre-fill corporate bank account opening forms for our Client’s signature. This document must thereafter be returned by our Client to the bank along with signature specimens. The bank will then convert the capital account into a trading account and provide our Client with the corporate bank account numbers and internet tokens necessary to use online banking services;
9. When the company commences operations or hires its first employee, our Firm assists our Client to register the company with the Croatian Institute for Pension Insurance and Croatian Institute for Health Insurance;
10. Following engagement completion, Healy Consultants couriers a full company kit to our Client, including original Croatia corporate documents, unopened bank correspondence and a Client feedback survey to assess the quality of our Croatia business incorporation services.
