11 steps to incorporating in Andorra in 2024

1. Before Healy Consultants starts to incorporate our Client’s company in Andorra, our Firm requests that he or she i) settles our fees requested to project-manage the engagement ii) signs and returns our engagement letter and iii) provides us scans of all the documents required for our due diligence checks;
2. Healy Consultants assists our Client to decide on i) proposed company’s name and ii) the optimum corporate structure including directors and shareholders;
3. Our project manager then drafts a detailed project plan for Andorra business incorporation and corporate bank account opening services in Andorra or abroad. This document will map out each step towards engagement completion;
4. Healy Consultants incorporation team performs a company name search with the Oficina de Marques del Principat d’Andorra (OMPA) and, if approved, we prepare the documents required for the incorporation of your Andorra company;
5. Healy Consultants incorporation team emails the corporate documents to our Client for his signature and return to us. This documents notably include consent forms to act as director and shareholder; and a draft Memorandum and Articles of Association;
6. Healy Consultants will present the company’s Memorandum and Articles (‘estatuts’ and ‘rao social’) to the government (‘Andorra Govern’) in a petition (‘suplica’) for incorporation;
7. To support Andorra company setup, Healy Consultants completes corporate bank account opening for our Client. The account includes world-class multi-currency Internet banking facilities. Healy Consultants works with internationally recognized Andorra banks, including i) Banqua Privata Andorra ii) Andbank and iii) MoraBanc to provide corporate bank account services. Healy Consultants will pay the full share capital in advance of incorporation into the designated Andorran corporate bank account. The bank will then release a special certificate, addressed to the designated notary, responsible for concluding incorporation formalities;
8. Healy Consultants’ incorporation team receives an email of the Certificate of Incorporation from the authorities. Our team will immediately email the same to you;
9. Upon receipt of original Client signed corporate documents, Healy Consultants couriers a company kit folder (to our Client’s preferred international address) containing the following corporate documents:
   • Original copy of Certificate of Incorporation;
   • An original bound copy of the Memorandum and Articles of Association;
   • Original share certificates;
   • Engagement Feedback Survey for our Client to fill out and return.
10. To support Andorra business setup, Healy Consultants provides our Client with a local business address in Andorra for invoicing purposes, together with telephone, fax and email support. Healy Consultants will also assist our Client to locate business premises in Andorra and recruit local staff to accompany Andorra company setup;
11. Healy Consultants assists our Client to obtain corporate finance, trade finance and to open merchant accounts to support our Client’s business in Andorra.
